Terms of Service

These terms govern your use of ReplyLabs, a product of Empra Consultancy LTD ("we", "us", "our"). By using ReplyLabs, you agree to these terms.

1. Service Description

ReplyLabs is a Google Sheets add-on that provides AI text generation, web scraping, and email verification tools through a sidebar interface. The service includes a web dashboard for account management, billing, and API key storage.

2. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. You must notify us immediately if you suspect unauthorized access.

One person may not maintain more than one free account. Organizations may have multiple team members under a single workspace.

3. Acceptable Use

You agree not to:

  • Use the service for any unlawful purpose.
  • Send spam, phishing, or unsolicited communications using data obtained through the service.
  • Attempt to reverse engineer, decompile, or disassemble the service.
  • Exceed reasonable usage limits or abuse the free tier to avoid payment.
  • Resell or redistribute the service without written permission.
  • Use the service to scrape websites in violation of their terms of service.

4. Payment Terms

Prepaid balance: You add funds to your account balance. Each operation costs a small platform fee plus a markup on the AI provider's cost. Exact pricing is shown before you run any job. The balance cannot go below zero. Minimum top-up is $20.

Subscriptions: Pro ($19/month) and Scale ($39/month) plans are billed monthly via Stripe. You can cancel at any time, and the plan remains active until the end of the billing period. Refunds are not provided for partial months.

BYOK (Bring Your Own Key): When you use your own API keys, you are subject to that provider's pricing and terms. We do not charge for operations performed with your own keys (on eligible plans).

5. API Keys

If you provide your own API keys, you are responsible for their security and usage. We encrypt stored keys with AES-256-GCM and never expose them in our UI or logs. However, we are not liable for charges incurred on your provider accounts through your keys. You should monitor your provider dashboards for unusual usage.

6. Intellectual Property

ReplyLabs and its original content, features, and functionality are owned by Empra Consultancy LTD. The service is protected by copyright and other intellectual property laws. Your data, prompts, and spreadsheet content remain yours.

7. Limitation of Liability

To the maximum extent permitted by law, Empra Consultancy LTD shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the service. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

We do not guarantee the accuracy, completeness, or reliability of AI-generated content, scraped data, or email verification results. These outputs are provided "as is" and should be reviewed before use.

8. Availability

We aim for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We are not liable for downtime caused by Google Sheets, third-party API providers, or circumstances beyond our control.

9. Termination

You may delete your account at any time from the dashboard. We may suspend or terminate accounts that violate these terms, with notice where practicable. Upon termination, your data will be deleted within 30 days, except where retention is required by law.

10. Changes to Terms

We may update these terms from time to time. We will notify you by email for material changes and provide at least 14 days notice before they take effect. Continued use of the service after changes constitutes acceptance.

11. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
